Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Creative Spy (creativespy.ai), a product of Aresium LLC, a limited liability company registered in the State of Wyoming, USA.

By creating an account or using Creative Spy, you agree to be bound by these Terms. If you do not agree, you may not use the service.

2. Service Description

Creative Spy is a software-as-a-service (SaaS) platform that provides:

• Ad creative analysis and performance insights via the Meta Marketing API
• Competitor intelligence and ad library research
• AI-powered prompt generation for advertising creatives
• AI-powered image generation

Features may be added, modified, or removed at our discretion. We will provide reasonable notice of material changes.

3. Account Terms

• You must be at least 18 years of age to create an account and use the service.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality and security of your login credentials.
• One account per person. Sharing accounts or credentials is not permitted.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@creativespy.ai if you suspect unauthorized access to your account.

4. Subscription Plans and Pricing

Creative Spy offers the following subscription plans:

Plan features, limits, and pricing are detailed on our pricing page and may be updated with reasonable notice.

5. Credits

Creative Spy uses a credit system for image generation features. The following terms apply:

• Credits are consumed when you generate images using our AI tools.
• Credits are non-transferable and cannot be exchanged for cash.
• Monthly plan credits expire at the end of each billing cycle and do not roll over.
• Purchased credit top-ups do not expire for 12 months from the date of purchase.
• We reserve the right to adjust credit pricing and allocation with reasonable notice.

6. Payment and Billing

• Payments are processed securely via Stripe. We do not store your full credit card information on our servers.
• Paid subscriptions renew automatically at the end of each billing cycle unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Prices are listed in USD and are exclusive of applicable taxes.

7. Refund Policy

• Credits that have been used are non-refundable.
• If you cancel your subscription mid-billing cycle, a pro-rata refund for the unused portion may be issued at our discretion.
• Refund requests should be sent to support@creativespy.ai within 14 days of the charge.
• We reserve the right to deny refund requests in cases of abuse or violation of these Terms.

8. Acceptable Use

You agree not to:

• Use the service for any unlawful, fraudulent, or harmful purpose
• Generate, upload, or distribute illegal, offensive, or infringing content
• Use the service to send spam, unsolicited messages, or misleading advertisements
• Attempt to reverse-engineer, decompile, or extract our algorithms, AI prompts, or proprietary systems
• Abuse the API, circumvent rate limits, or manipulate the credit system
• Resell, sublicense, or redistribute access to Creative Spy without our written consent
• Interfere with or disrupt the integrity or performance of the service
• Use automated tools (bots, scrapers) to access the platform unless expressly permitted

9. Meta API Integration

• To use ad analysis features, you may connect your Meta (Facebook) ad account by providing an API access token.
• You are responsible for generating and managing your own Meta API tokens.
• We do not store your Meta password. Your API token is encrypted at rest on our servers.
• You must ensure you have the necessary permissions and authority to grant Creative Spy access to your Meta ad account data.
• Your use of the Meta integration is also subject to Meta's own terms and policies.

10. AI-Generated Content

• Images and content generated through Creative Spy's AI tools are owned by you, the user. We claim no ownership over your generated content.
• AI-generated content is provided as a creative starting point and should be reviewed before use in production.
• We do not guarantee that AI-generated content will be free from errors, biases, or intellectual property conflicts.
• You are solely responsible for ensuring your use of generated content complies with applicable laws and platform policies.

11. Intellectual Property

The Creative Spy brand, name, logo, user interface, algorithms, AI prompts, and underlying technology are the intellectual property of Aresium LLC. You may not:

• Copy, reproduce, or redistribute any part of the platform
• Use our trademarks or branding without written permission
• Claim ownership of any part of the Creative Spy platform or technology

12. Limitation of Liability

To the maximum extent permitted by law:

• Creative Spy is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not guarantee specific advertising results, revenue outcomes, or uninterrupted service availability.
• Aresium LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• Our total liability for any claim related to the service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• AI-generated analyses and recommendations are for informational purposes and do not constitute professional advertising, legal, or financial advice.

13. Termination

• You may cancel your account at any time from the account settings page or by contacting us.
• We may suspend or terminate your account immediately if you violate these Terms, engage in abusive behavior, or pose a security risk.
• Upon termination, your right to access the service ceases immediately.
• Your data will be deleted in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination (including limitation of liability, intellectual property, and dispute resolution) shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.

15. Dispute Resolution

In the event of any dispute arising from these Terms or your use of Creative Spy:

• The parties shall first attempt to resolve the dispute through good faith negotiation for a period of 30 days.
• If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in the State of Wyoming, USA, in accordance with applicable arbitration rules.
• Each party shall bear its own costs and legal fees unless the arbitrator determines otherwise.
• You agree to resolve disputes on an individual basis and waive the right to participate in a class action or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email. Your continued use of Creative Spy after such notification constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the service and cancel your account.
